Terms of Service & Use

1. Acceptance of Terms

By utilizing any service or digital platform provided by Pneuma Food Scientifics, you affirm that you are at least 18 years of age and possess the legal capacity to enter into a binding contract on behalf of yourself or your corporate entity. If you do not agree to these Terms, you must immediately refrain from using our services and website.

2. Scope of Scientific & Consulting Services

Pneuma Food Scientifics provides specialized technical and commercialization advisory services across the food, cosmetics, wellness, and herbal sectors, including:

• Regulatory Compliance & Coaching: Guidance on product registrations, labeling standards, and audit readiness for the Ghana Food and Drugs Authority (FDA) and Ghana Standards Authority (GSA).
• Product Formulation & R&D: Standardized recipe development, shelf-life testing oversight, and sensory evaluation.
• Factory & Equipment Layouts: Technical facility layout advisory, hazard mitigation, and code-compliant equipment sourcing.
• Commercial Food Dehydration: Commercial processing and dehydration of plant and agricultural products.
• Laboratory Testing Access: Analytical, microbiological, and chemical test facilitation via LinkinLabs and accredited laboratory partners.
• Business Advisory & Coaching: Drafting business plans, financial projections, and operational quality management systems (HACCP).

3. Service Pricing, Payment Terms & Refunds

A. General Consultancy Rates

• Base initial consultation and business registration guidance fees start from GHS 500, unless otherwise agreed in a written scope of work.

B. Deposit Structure for Custom Deliverables

• Quality Assurance Manuals & Custom Documentation: Execution requires an upfront, non-refundable commitment deposit of 50% of the total quoted fee. The remaining balance of 50% is due immediately upon delivery of the initial draft for review.

C. Commercial Dehydration Fees

• Commercial dehydration services are charged based on machine hours (ranging between GHS 10 to GHS 25 per hour) plus labor fees (starting from GHS 100 per day per staff member).
• Clients must pay a mandatory 70% upfront deposit before drying operations commence. The remaining balance must be cleared prior to releasing the processed product.

D. Third-Party & Statutory Fees

• All official government registration, inspection, and statutory filing fees charged by the Ghana FDA, GSA, or municipal assemblies are separate from PFS consulting charges and must be borne directly by the client.

E. Refund Policy

• Due to the tailored nature of scientific research, technical formulation, and administrative preparation, upfront commitment fees and deposits are strictly non-refundable once work has commenced.

4. Client Responsibilities & Obligations

To ensure timely and successful regulatory execution, clients agree to:

• Accuracy of Information: Provide truthful, complete, and accurate records, including business registration documents, Ghana Card/TIN copies, recipe formulations, and facility address detail.
• Facility Standard Maintenance: Maintain operational cleanliness, sanitation, and food handler health protocols in accordance with PFS guidance and FDA minimum standards.
• Timely Document Submission: Provide requested documentation, facility access, or sample batches within agreed timelines to prevent regulatory delays.

5. Regulatory & Certification Disclaimers

• Independent Authority: Pneuma Food Scientifics is an independent technical consultancy. Final certification, registration, and license issuance remain under the sole discretion of government statutory bodies (e.g., Ghana FDA, GSA).
• No Guarantee of Approval: While PFS applies scientific integrity and expert regulatory preparation, PFS does not guarantee automatic approval by state regulators if the client fails inspection criteria, conceals recipe details, or alters facilities post-audit.

6. PFS Connect Portal Terms of Use

Access to the PFS Connect portal (Client, Associate, Consultant, Supervisor, and Administrator role workspaces) is governed by the following rules:

• Account Security: You are responsible for maintaining the confidentiality of your login credentials. Any activity conducted through your account is your legal responsibility.
• Authorized Role Use: Users must access only the workspace designated for their assigned role (e.g., Client, Associate, or Consultant) and must not attempt unauthorized escalation of account privileges.
• Prohibited Conduct: Users shall not upload malicious code, attempt unauthorized data extraction, or submit fraudulent regulatory compliance documents through the portal.

7. Intellectual Property Rights

• Client IP: The client retains sole ownership of pre-existing proprietary product formulas, recipes, brand logos, and trade secrets submitted to PFS.
• PFS IP: All custom quality management manuals, standard operating procedures (SOPs), technical templates, training frameworks, website copy, graphics, and PFS Connect software codes prepared by PFS remain the intellectual property of Pneuma Food Scientifics unless explicitly transferred under a written agreement.

8. Limitation of Liability

To the maximum extent permitted by Ghanaian law, Pneuma Food Scientifics, its founder, officers, associates, and consultants shall not be held liable for any indirect, incidental, consequential, or punitive damages resulting from:

• Delays caused by third-party state regulatory agencies (FDA/GSA) or official inspection backlogs.
• Product spoilage, batch failure, or financial loss resulting from a client’s failure to adhere to prescribed storage, formulation, or sanitation protocols.
• Unforeseen utility outages affecting commercial dehydration processing times.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall first be submitted to good-faith negotiation. If unresolved, it shall be settled through mediation or arbitration in Accra, Ghana.
